Franchising in California is governed by three layers of law. At the federal level, the Federal Trade Commission Franchise Rule requires every franchisor to give a prospective buyer a detailed disclosure document at least 14 days before any sale. California then adds two of the strictest state franchise laws in the country.

  • Good cause and long advance notice before a franchisor may decline to renew a franchise at the end of its term.
  • A 60-day window for a franchisor to approve or reject a franchisee’s request to transfer or sell the franchise.
  • An obligation for the franchisor to repurchase certain inventory and equipment after a lawful termination or nonrenewal.
  • Protection of Franchisee Rights, including a rule that a clause forcing disputes into another state’s courts is void for a franchise operating in California.

Because these protections cannot be waived by contract, a franchise disclosure document (FDD) and franchise agreement should always be read against California law, not only the terms printed on the page.
